Welcome to Chimpipi! These Terms of Use ("Terms") govern your access to and use of the Chimpipi mobile application and related services (collectively, the "Service") provided by Chimpipi, LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility and Age Requirements

Age Verification: During registration, you will be asked to provide your date of birth. By providing this information, you certify that the date of birth you provide is accurate. Users who indicate they are under 13 years of age will be blocked from creating an account.

Users Under 18: If you are between 13 and 18 years of age, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf. We may require parental consent for certain features.

Consequences of Misrepresentation: If we discover that you have misrepresented your age, we reserve the right to immediately terminate your account and delete all associated data without notice.

3. Account Registration

Creating an Account

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

One Account Per Person

You may only maintain one active account. Creating multiple accounts to circumvent restrictions, abuse promotions, or for any other purpose is prohibited and may result in termination of all associated accounts.

4. Description of Service

Chimpipi is a comedy show discovery platform that allows users to:

• Discover comedy shows, open mics, and live events in their area
• Browse information about comedians, venues, and events
• Save and follow favorite comedians and venues
• Receive notifications about upcoming shows
• Access links to purchase tickets from third-party ticketing platforms

Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

Event Information Accuracy

We aggregate event information from multiple sources and make reasonable efforts to ensure accuracy. However, event details (including dates, times, locations, and ticket availability) may change without notice. We are not responsible for inaccurate event information, canceled events, or changes made by venues or performers. Always verify event details with the venue or official ticketing platform before attending.

Contact Information Accuracy

Contact information displayed for venues, clubs, hosts, festival organizers, and comedians (including but not limited to email addresses, phone numbers, websites, business addresses, and social-media handles) is aggregated from public sources, internal research, and community submissions. This information may be outdated, incorrect, or no longer valid. We are not responsible for inaccurate contact information or for the consequences of any communication you initiate using information displayed on the Service. You should independently verify any contact information before relying on it. For removal or correction of a specific listing, see the "Listing Removal and Correction Requests" section of our Privacy Policy.

5. User Conduct

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable federal, state, local, or international law or regulation
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Use the Service in any manner that could disable, overburden, damage, or impair the Service
• Use any robot, spider, scraper, or other automated means to access the Service without our express written permission
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service
• Collect or harvest any personally identifiable information from the Service
• Use the Service to transmit any advertising or promotional material without our prior written consent
• No bulk extraction of contact information: Collect, aggregate, copy, store, or extract email addresses, phone numbers, addresses, or social-media handles displayed on the Service in bulk — whether through automated tools, manual means, browser extensions, or otherwise — for any purpose other than legitimate individual outreach
• No unsolicited bulk communications: Use any contact information displayed on the Service to send unsolicited commercial email (in violation of the CAN-SPAM Act, 15 U.S.C. § 7701 et seq.), unsolicited telemarketing or automated SMS (in violation of the Telephone Consumer Protection Act, 47 U.S.C. § 227), or unsolicited communications in violation of any analogous state law (including but not limited to California B&P Code § 17529.5 and the Florida Telemarketing Act)
• No harassment or unlawful contact: Use contact information displayed on the Service to harass, threaten, stalk, defraud, impersonate, or otherwise communicate with any listed individual or business in violation of applicable law

Prohibited Content

You agree not to post, upload, or transmit any content that:

• Is unlawful, harmful, threatening, abusive, or harassing
• Is defamatory, vulgar, obscene, or invasive of privacy
• Promotes discrimination, bigotry, racism, or hatred
• Infringes any patent, trademark, copyright, or other intellectual property rights
• Contains viruses, malware, or other harmful code
• Constitutes unauthorized advertising, spam, or solicitation

6. SMS/Text Message Terms

Types of Messages

If you opt in to receive SMS messages, you may receive:

• Transactional Messages: Account verification codes, password reset codes, security alerts, and important account notifications
• Promotional Messages: Event announcements, show reminders, special offers, and marketing communications (requires separate opt-in consent)

Message Frequency and Rates

Message frequency varies based on your account activity and preferences. Message and data rates may apply. Check with your mobile carrier for details about your messaging plan. We are not responsible for any charges incurred from your mobile carrier.

Opting Out

You may opt out of receiving SMS messages at any time by:

• Replying STOP to any message you receive from us
• Replying QUIT, END, CANCEL, UNSUBSCRIBE, or OPT OUT
• Updating your preferences in your account settings
• Contacting us at privacy@chimpipi.com

After you opt out, you will receive one final confirmation message. We will process your opt-out request within 10 business days. Opting out of promotional messages will not affect transactional messages related to your account security.

Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your network operator.

7. Intellectual Property Rights

Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Chimpipi, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Chimpipi name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Chimpipi, LLC. You may not use such marks without our prior written permission.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include any right to:

• Modify or copy the Service or its content
• Use the Service for any commercial purpose
• Use any data mining, robots, or similar data gathering or extraction methods
• Download any content unless expressly permitted by the Service
• Use the Service in any way that violates these Terms

Third-Party Content

The Service may display content from third parties, including event information, comedian profiles, and venue details. This content is the sole responsibility of the entity that makes it available. We do not guarantee the accuracy, completeness, or usefulness of any third-party content.

8. User Content

Your Content

You may have the opportunity to submit, post, or display content through the Service ("User Content"). You retain ownership of your User Content, but by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business.

Representations

By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to submit the User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws

Removal of Content

We reserve the right to remove any User Content at our sole discretion, without notice, for any reason, including if we believe it violates these Terms or may harm our reputation or the Service.

9. Copyright and DMCA

Chimpipi respects the intellectual property rights of others and expects its users to do the same. If you believe that any content appearing on the Service has been copied in a way that constitutes copyright infringement, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA").

Filing a DMCA Notice

To file a copyright infringement notice, please provide the following information in writing to our designated Copyright Agent:

• Your name, address, telephone number, and email address
• A description of the copyrighted work that you claim has been infringed
• The exact URL or a description of where the alleged infringing material is located on the Service
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

Please note that under the DMCA, you may be liable for damages (including costs and attorney fees) if you knowingly misrepresent that material or activity is infringing. Information provided in your copyright infringement notice may be forwarded to the person responsible for the allegedly infringing material.

10. Third-Party Links and Services

The Service may contain links to third-party websites, applications, or services, including:

• Ticketing platforms for purchasing event tickets
• Venue websites
• Comedian social media profiles and websites
• Payment processors

These third-party links are provided solely for your convenience. We have no control over the content, privacy policies, or practices of any third-party sites or services. We are not responsible for any transactions you conduct with third parties, including ticket purchases. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

11. Third-Party Contact Information

The Service displays contact information for comedy venues, comedy clubs, open-mic hosts, festival organizers, and comedians performing professionally — including email addresses, phone numbers, business addresses, websites, and social-media handles.

Sources: This information is aggregated from publicly available sources (including the Google Places API, public venue websites, published booking pages, and the publicly visible portions of official social-media bios), our internal research and "club intelligence" dataset, and corrections contributed by signed-in users. See the "Sources of Personal Information" section of our Privacy Policy for more detail.

Accuracy: Contact information may be outdated, incorrect, or no longer valid. We make reasonable efforts to keep listings accurate, but you are responsible for independently verifying any contact information before relying on it.

Intended use: Displayed contact information is provided for legitimate individual professional outreach consistent with the listee's stated purpose — for example, a comedian inquiring about a booking, a producer reaching out to a venue manager, or an audience member calling a venue for showtime confirmation. Section 5 (Acceptable Use) prohibits bulk extraction, unsolicited bulk communications, harassment, and other misuse of displayed contact information.

Removal and correction: Venues, clubs, festival organizers, open-mic hosts, comedians, and their authorized representatives may request removal or correction of their listing — see the "Listing Removal and Correction Requests"section of our Privacy Policy for the request process and response timeline.

Disclaimer: The fact that contact information for a venue, club, or individual appears on the Service does not imply any endorsement, partnership, sponsorship, or other relationship between that listee and Chimpipi, LLC, and does not constitute permission from us for any particular use of that contact information.

12. Affiliate Relationships and Ticket Purchases

Commission-Based Referrals

Links to purchase tickets that appear in the Service may be affiliate links. This means we may earn a commission if you complete a purchase through these links. Affiliate links may be marked with an asterisk (*) or labeled "Ad" or "Sponsored."

Ticket Purchases

Chimpipi does not sell tickets directly. All ticket purchases are made through third-party ticketing platforms. We are not a party to any ticket transaction. Issues with ticket purchases, including refunds, exchanges, or disputes, must be resolved directly with the ticketing platform or venue.

By using the Service to access ticket purchase links, you acknowledge that:

• Ticket prices, availability, and fees are determined by the ticketing platform and/or venue
• We have no control over ticket inventory, pricing, or availability
• Refund and exchange policies are set by the ticketing platform and/or venue
• We are not responsible for any issues arising from your ticket purchase

13. Privacy and Data Practices

Your privacy is important to us. Our collection, use, and disclosure of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Important Notice: As described in our Privacy Policy, we sell personal information to third parties, including data brokers and marketing partners. By using the Service, you acknowledge our data practices as described in the Privacy Policy. You have the right to opt out of the sale of your personal information.

14. Feedback

We welcome and encourage feedback about the Service. By sending us any feedback, comments, questions, or suggestions concerning Chimpipi or the Service (collectively, "Feedback"), you represent and warrant that: (a) you have the right to disclose the Feedback; (b) the Feedback does not violate the rights of any other person or entity; and (c) your Feedback does not contain the confidential or proprietary information of any third party.

By submitting Feedback, you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, prepare derivative works of, publish, distribute, and sublicense the Feedback for any purpose. You further acknowledge that: (i) we are under no obligation of confidentiality with respect to the Feedback; (ii) we may have features or ideas similar to the Feedback already under consideration or in development; and (iii) you irrevocably waive any claims or assertions of moral rights contained in such Feedback.

This Feedback section shall survive any termination of your account, these Terms, or your use of the Service.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, CHIMPIPI, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE SERVICE
• ACCURACY OF EVENT INFORMATION, INCLUDING DATES, TIMES, LOCATIONS, AND TICKET AVAILABILITY

We do not warrant that the Service will meet your requirements, that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHIMPIPI, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any damages resulting from your access to or use of (or inability to access or use) the Service
• Any damages resulting from any content obtained from the Service
• Any damages resulting from unauthorized access, use, or alteration of your content or data
• Any issues arising from ticket purchases made through third-party platforms
• Canceled, rescheduled, or modified events
• Inaccurate event information displayed on the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

17. Dispute Resolution and Arbitration

Agreement to Arbitrate

You and Chimpipi, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of the Service (collectively, "Disputes") will be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Waiver of Jury Trial and Class Action

BY AGREEING TO THESE TERMS, YOU AND CHIMPIPI, LLC ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

All Disputes must be resolved on an individual basis. You may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action. Arbitrators may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Arbitration Procedures

The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if not available, the American Arbitration Association under its Consumer Arbitration Rules). The arbitration will be conducted in the English language. A single arbitrator will be selected in accordance with the applicable rules.

Unless you and we agree otherwise, the arbitration will take place in the county where you reside or, at your election, via telephone or video conference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Arbitration Fees

Payment of arbitration fees will be governed by the applicable arbitration provider's rules. If your claim is for $10,000 or less, we will pay all filing, administration, and arbitrator fees. If your claim is for more than $10,000, filing, administration, and arbitrator fees will be allocated as determined by the arbitration provider's rules.

Exceptions to Arbitration

Notwithstanding the above, either party may:

• Bring an individual action in small claims court for claims within that court's jurisdiction
• Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights

Opt-Out of Arbitration

You may opt out of this arbitration agreement by sending written notice of your decision to opt out to: legal@chimpipi.com within 30 days of first accepting these Terms. Your notice must include your name, address, phone number, email address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, neither you nor Chimpipi, LLC will be bound by this arbitration provision.

Survival

This arbitration agreement will survive the termination of your relationship with us and your use of the Service.

18. Indemnification

You agree to defend, indemnify, and hold harmless Chimpipi, LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable law or regulation
• Any misrepresentation made by you, including regarding your age
• Your use, misuse, or unauthorized communication directed at any third party using contact information displayed on the Service — including any claim brought against us under the CAN-SPAM Act, the Telephone Consumer Protection Act, any state consumer-protection statute, or any anti-harassment, anti-stalking, or anti-impersonation law arising from your communications or other use of that information

19. Termination

Termination by You

You may terminate your account at any time by contacting us at support@chimpipi.com or through your account settings. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

Effect of Termination

Upon termination of your account: (a) your license to use the Service will immediately terminate; (b) you must cease all use of the Service; and (c) any provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

20. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

For any matters not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

21. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by:

• Posting a notice in the app at least 30 days before the changes take effect
• Sending you an email notification (if you have provided an email address)
• Updating the "Last updated" date at the top of these Terms

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

22. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chimpipi, LLC regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Notices

We may provide notices to you via the email address associated with your account, in-app notifications, or by posting notices on the Service. You may provide notices to us by emailing legal@chimpipi.com.

Force Majeure

Neither party shall be liable for any delay or failure to perform any obligation under these Terms if the delay or failure is due to circumstances beyond the affected party's reasonable control, including but not limited to acts of God, fire, flood, natural disaster, pandemic, riot, war, terrorism, strikes, government action, Internet service interruptions, or power outages.

Statute of Limitations

Any cause of action or claim you may have arising out of or relating to the Service or these Terms must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred. This statute of limitations provision does not apply to residents of New Jersey.
